Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TastyReply website, applications, and related services (collectively, the "Service"), provided by TastyReply ("TastyReply", "we", "us", or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

TastyReply provides software-as-a-service that aggregates publicly available customer reviews from third-party platforms (such as Google Business Profile, Yelp, TripAdvisor, OpenTable, Resy, UberEats, DoorDash, and Grubhub) on behalf of restaurant operators who connect their accounts, and provides analytics, summaries, alerts, and related operations-intelligence features.

2. Account registration

You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 18 years old and have the authority to bind your business to these Terms. Notify us immediately at security@tastyreply.com of any unauthorized use of your account.

3. Acceptable use

You agree not to: (a) use the Service in violation of any applicable law or regulation; (b) reverse engineer, decompile, or attempt to discover the source code of the Service except as permitted by law; (c) use the Service to transmit malware, spam, or other harmful content; (d) attempt to gain unauthorized access to the Service or to any other user's account; (e) use the Service to harass, threaten, or harm any person; (f) interfere with the proper working of the Service or any servers or networks connected to the Service; (g) use the Service to scrape, harvest, or otherwise collect data in violation of the terms of any third-party platform; or (h) resell or sublicense the Service without our prior written consent.

4. Third-party platform connections

The Service requires you to connect third-party review platforms (Google, Yelp, etc.) using their respective OAuth flows. By doing so you authorise TastyReply to access read-only data from those platforms on your behalf, and you represent that you have the right to grant such access. Your use of those third-party platforms is governed by their own terms and policies. We are not responsible for the actions or omissions of any third-party platform, including changes to their APIs or terms that affect the Service.

5. Subscription, billing, and cancellation

Free trial. New accounts may be eligible for a 14-day free trial of the Service. No payment information is required to start the trial.

Subscriptions. Paid subscriptions are billed monthly or annually as you elect, in advance, per active location. Subscriptions automatically renew at the end of each billing cycle unless cancelled.

Adding or removing locations. Changes to the number of locations on your subscription mid-cycle are prorated.

Cancellation. You may cancel your subscription at any time from your account settings or by emailing billing@tastyreply.com. Cancellation takes effect at the end of the current billing cycle; you retain access until then. Fees already paid are non-refundable except as expressly stated.

30-day money-back guarantee. If you are a paying customer and you are not satisfied with the Service within your first 30 days as a paid customer, email us within that period and we will refund your most recent invoice.

Taxes. Fees are exclusive of applicable taxes, which you are responsible for paying.

Late payment. If we are unable to collect payment, we may suspend or terminate your account after reasonable notice.

6. Your data

You retain all rights in the data you submit to the Service or that the Service collects on your behalf from third-party platforms ("Customer Data"). You grant TastyReply a limited, non-exclusive licence to use Customer Data solely to provide and improve the Service to you. You may export Customer Data at any time, and we will delete Customer Data within 30 days of the termination of your account, subject to limited backup retention and our legal obligations. 7. Intellectual property

TastyReply and its licensors retain all right, title, and interest in and to the Service, including all software, designs, trademarks, and content (other than Customer Data). You may not use the TastyReply name, logo, or trademarks without our prior written permission, except as necessary to identify the Service.

8. Service changes and availability

We may modify, suspend, or discontinue the Service or any feature at any time. We will provide reasonable notice of material changes that adversely affect paying customers. We aim for high availability but do not guarantee uninterrupted access; the Service is provided "as is."

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service immediately if you breach these Terms, if your use of the Service exposes us to legal risk, or if non-payment continues after reasonable notice. On termination, your right to use the Service ends and your data will be retained or deleted in accordance with our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that any AI-generated insights, recommendations, or predictions will be accurate. You are responsible for the operational decisions you make based on output from the Service.

11. Limitation of liability

To the fullest extent permitted by law, TastyReply will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of or relating to your use of the Service. Our aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the amounts you paid us in the 12 months preceding the claim.

12. Indemnification

You will defend, indemnify, and hold harmless TastyReply and its affiliates, officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your Customer Data, or your breach of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version at this URL and update the "Last updated" date above. For material changes, we will provide additional notice (such as an email to account owners) before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
